Terms of Sale

1. Purpose
These Terms of Sale (hereinafter "Terms") define the conditions under which Menyko provides its subscription services for its SaaS QR Code ordering platform for restaurants (hereinafter the "Service").
Any subscription to a Menyko plan implies unreserved acceptance of these Terms, which prevail over any other document.
2. Plans and pricing
Menyko offers three monthly subscription plans:

Prices are shown in euros excluding tax (excl. tax). Applicable VAT will be added in accordance with current legislation.
3. Trial period
Every new User benefits from a free trial period of seven (7) days from account creation. No credit card is required for the trial.
During the trial period, the User has access to Basic plan features. At the end of this period, if the User has not subscribed to a paid plan, dashboard access is suspended. The restaurant’s public menu remains temporarily accessible but new order creation is disabled.
User data is retained for ninety (90) days after the trial period ends, allowing the User to reactivate their account by subscribing to a plan.
4. Subscription and payment
Subscription to a plan is done directly from the Menyko dashboard. The User is redirected to the secure payment platform Stripe to complete the payment.
Accepted payment methods are those offered by Stripe, including Visa, Mastercard, and American Express credit cards.
Payment is due immediately upon subscription. The first month is billed on the subscription date. Subsequent months are billed on a recurring basis on the same date.
Menyko does not store any banking data. All transactions are processed by Stripe (Stripe, Inc.), a PCI-DSS certified payment provider.
5. Automatic renewal
The subscription is automatically renewed each month on the anniversary date of the subscription, unless cancelled by the User before that date.
In the event of a payment failure, Menyko will attempt to renew the charge according to the schedule defined by Stripe. After several unsuccessful attempts, the subscription will be suspended and the User will be notified by email.
6. Plan changes
The User may at any time switch to a higher plan (upgrade) or a lower plan (downgrade) from their dashboard or via the Stripe customer portal.
Upgrade: the change takes effect immediately. The price difference is calculated pro rata for the remaining period.
Downgrade: the change takes effect at the end of the current billing period. The User retains access to their current plan features until that date. If the number of restaurants or users exceeds the limits of the new plan, the User must make the necessary adjustments before the downgrade takes effect.
7. Cancellation
The User may cancel their subscription at any time from the Stripe customer portal accessible via the Menyko dashboard, under the "Billing" section.
Cancellation takes effect at the end of the current billing period. The User retains access to the Service until that date.
After cancellation, User data is retained for ninety (90) days, allowing the User to reactivate their account. After this period, data is permanently deleted.
Menyko reserves the right to cancel a User’s subscription in the event of a Terms of Use violation, after a formal notice that has remained without effect for fifteen (15) days.
8. Refunds
No pro rata refund will be issued in the event of cancellation during a billing period. The User retains access to the Service until the end of the already paid period.
In the event of a major Service outage attributable to Menyko (exceeding 72 consecutive hours), the User may request a credit corresponding to the duration of the outage by contacting contact@menyko.com.
9. Pricing and VAT
Prices displayed on the menyko.com website and in the dashboard are expressed in euros excluding tax (excl. tax).
Applicable VAT is determined based on the User’s place of establishment and current tax regulations. The tax-inclusive amount is displayed before payment validation on the Stripe payment page.
Menyko reserves the right to modify its prices. Any modification will be notified to the User at least thirty (30) days before it takes effect. In case of disagreement, the User may cancel their subscription before the new prices take effect.
10. Invoicing
An invoice is automatically issued at each payment due date and made available to the User via the Stripe customer portal. The User can access their invoice history from the "Billing" section of their dashboard.
11. Right of withdrawal
As the Service is intended exclusively for professionals (B2B), the right of withdrawal provided for by articles L. 221-18 et seq. of the French Consumer Code does not apply.
Nevertheless, the free trial period of seven (7) days allows the User to test the Service without financial commitment before any subscription.
12. Force majeure
Menyko shall not be held liable for the non-performance or delay in the performance of its obligations in the event of force majeure as defined by article 1218 of the French Civil Code, including but not limited to natural disaster, pandemic, internet infrastructure failure, cyberattack, government decision, or failure of a hosting provider.
In the event of force majeure lasting more than thirty (30) days, either party may terminate the contract without indemnity, subject to fifteen (15) days’ notice.
